1. Acceptance of Terms

By accessing or using GistHive (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

GistHive is a SaaS code snippet management platform that enables users to store, organize, share, and collaborate on code snippets. The Service includes features for team collaboration, workspace management, and subscription-based access to premium features.

3. User Accounts

3.1 Account Creation

  • You must provide accurate, complete, and current information during registration
  • You are responsible for maintaining the security of your account credentials
  • You must be at least 13 years of age to use this Service
  • One person or legal entity may not maintain multiple free accounts

3.2 Account Responsibilities

You are responsible for:

  • All activity that occurs under your account
  • Maintaining the confidentiality of your password
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring your account information remains accurate and up-to-date

3.3 Account Termination

We reserve the right to suspend or terminate your account if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • Your account remains inactive for an extended period (as defined in our retention policy)
  • Required by law or regulatory authority

4. Subscriptions and Payments

4.1 Subscription Plans

GistHive offers various subscription tiers with different features and limitations. Current plans and pricing are available on our website.

4.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • Payment is processed through Stripe, our third-party payment processor
  • All fees are non-refundable except as required by law or as expressly stated in these Terms
  • You authorize us to charge your payment method on file for recurring subscription fees

4.3 Price Changes

  • We reserve the right to modify subscription prices with at least 30 days’ notice
  • Price changes will not affect your current billing cycle
  • Continued use of the Service after price changes constitutes acceptance of the new pricing

4.4 Cancellation

  • You may cancel your subscription at any time through your account settings
  • Cancellation takes effect at the end of your current billing period
  • You will retain access to paid features until the end of your billing period
  • No refunds are provided for partial billing periods

4.5 Free Trial

  • Free trials may be offered for premium features
  • We may require payment information to start a free trial
  • We will notify you before charging your payment method at the end of the trial
  • We reserve the right to modify or discontinue free trial offers

5. Code Licensing and Intellectual Property

5.1 Automatic License Assignment

All code snippets submitted to GistHive are automatically assigned a license based on workspace visibility. Please refer to our Usage Policy for complete details:

  • Private and Team Workspaces: Internal-use proprietary license per workspace
  • Public Workspaces: MIT License

5.2 Your Content

You retain all ownership rights to the code and content you submit to GistHive. By submitting content, you grant us a limited license to:

  • Store, display, and transmit your content as necessary to provide the Service
  • Create backups and ensure Service reliability
  • Display public content to other users as intended by workspace visibility settings

5.3 Intellectual Property Warranties

You represent and warrant that:

  • You own or have the necessary rights to all content you submit
  • Your content does not infringe third-party intellectual property rights
  • You have authority to license your content according to the automatic license assignment

5.4 GistHive Intellectual Property

The Service itself, including all software, designs, text, graphics, and other content (excluding user-submitted content) is owned by GistHive and protected by copyright, trademark, and other intellectual property laws.

6. Acceptable Use Policy

6.1 Prohibited Activities

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Submit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or other users’ accounts
  • Use the Service to spam, harass, or abuse others
  • Scrape, crawl, or use automated tools to access the Service without permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service for cryptocurrency mining or similar resource-intensive activities
  • Resell or redistribute the Service without authorization
  • Submit content that is illegal, defamatory, or violates third-party rights

6.2 Content Restrictions

You may not submit content that:

  • Contains malware, viruses, or malicious code
  • Violates export control laws
  • Infringes on patents, copyrights, or trade secrets
  • Contains personal information of others without consent
  • Is intended to circumvent security measures

6.3 Enforcement

We reserve the right to:

  • Remove content that violates these Terms
  • Suspend or terminate accounts that violate the Acceptable Use Policy
  • Report illegal activity to law enforcement
  • Cooperate with legal investigations

7. Service Availability and Modifications

7.1 Service Availability

  • We strive to maintain high availability but do not guarantee uninterrupted access
  • Scheduled maintenance will be announced when possible
  • We are not liable for service interruptions beyond our reasonable control

7.2 Service Modifications

We reserve the right to:

  • Modify, suspend, or discontinue any feature of the Service
  • Update these Terms with notice as described in Section 15
  • Change subscription plans and features with reasonable notice

8. Data and Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

8.2 Data Security

We implement reasonable security measures to protect your data, but cannot guarantee absolute security. You acknowledge that:

  • Internet transmission is not completely secure
  • You use the Service at your own risk
  • You are responsible for backing up critical data

8.3 Data Retention

  • We retain your data for as long as your account is active
  • After account termination, data may be retained as required by law or for legitimate business purposes
  • You may request data deletion subject to legal retention requirements

Payment processing is handled by Stripe. Your use of Stripe is subject to their terms and privacy policy.

9.2 Third-Party Integrations

The Service may integrate with third-party services. We are not responsible for the availability, accuracy, or content of third-party services.

10. Warranties and Disclaimers

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY

10.2 No Professional Advice

The Service does not provide professional advice. Any code, information, or content on the Service should not be relied upon for critical applications without independent verification.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

11.1 Exclusion of Damages

WE SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR USE
  • COST OF SUBSTITUTE SERVICES
  • DAMAGES RESULTING FROM SERVICE INTERRUPTIONS OR SECURITY BREACHES

11.2 Liability Cap

OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11.3 Exceptions

These limitations do not apply to:

  • Our gross negligence or willful misconduct
  • Death or personal injury caused by our negligence
  • Liability that cannot be excluded by law

12. Indemnification

You agree to indemnify, defend, and hold harmless GistHive, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of third-party rights
  • Content you submit to the Service

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the United Kingdom, without regard to conflict of law principles.

13.2 Arbitration

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except:

  • Small claims court matters
  • Intellectual property disputes
  • Injunctive relief matters

13.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class actions or representative proceedings.

14. Export Control

You agree to comply with all applicable export and import laws. You represent that you are not:

  • Located in a country subject to embargo
  • Listed on any government restricted party list

15. Changes to Terms

15.1 Notification

We may modify these Terms at any time. We will notify you of material changes by:

  • Email notification
  • In-app notification
  • Notice on our website

15.2 Acceptance

Continued use of the Service after changes constitute acceptance of the modified Terms. If you disagree with changes, you must discontinue use of the Service.

16. General Provisions

16.1 Entire Agreement

These Terms, along with the Privacy Policy and Usage Policy, constitute the entire agreement between you and GistHive regarding the Service.

16.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

16.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.

16.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms to any successor or affiliate.

16.5 Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control.

16.6 Survival

Provisions that by their nature should survive termination (including warranty disclaimers, liability limitations, and indemnification) shall survive.
